Bylaws Amendment
Rationale. The Library District carries its liability insurance policy through the Texas Municipal League’s Intergovernmental Risk Pool. In renewing the policy, the Library Board specified that the Friends of the Wimberley Village Library should be included under this policy, which the District may do because the Friends are a closely affiliated organization.
However, there are several technical requirements that must be met for such an affiliated organization to be eligible for such coverage. In the case of the Friends all such requirements are met save one. The rules of the Intergovernmental Risk Pool specify that for an organization to be eligible, the Library Board must “either appoint individuals to the [Friends] board of directors or have members of [its] governing board serving on the [Friends] board with voting rights.”
The Friends’ Bylaws specify in §§4.3 and 7.9 that the President of the Library Board (or designee) is to be an “ex-officio, non-voting member” of the Friends Board. These two sections would need to be amended to replace the word “non-voting” with the word “voting” in order to meet the requirement stated above.
Proposed Motion.
Moved, that in order for the Friends of the Wimberley Village Library to be eligible for liability insurance coverage under the Library District’s policy with the Texas Municipal League’s Intergovernmental Risk Pool, the word “non-voting” be replaced by the word “voting” in §4.3 and §7.9 of the Bylaws.
